1General Provisions

1.1These Terms of Service (“Terms”) govern access to and use of the Partnears digital platform.

1.2The operator is SOLUS CITY PORTAL CO. L.L.C (“Company”), registered in Dubai, United Arab Emirates.

1.3Partnears (“Platform”) includes mobile applications, the website and digital services for professional networking, specialist discovery, recommendations, messaging and events.

1.4By creating an account or accepting these Terms through the interface, the User agrees to them.

1.5The Privacy Policy and published feature-specific rules also apply.

1.6Nothing in these Terms limits mandatory statutory rights.

2Age and Registration

2.1The Platform is intended for individuals aged 18 or older.

2.2Users must provide accurate, current information.

2.3Impersonation, unauthorized registration on another person’s behalf and false documents are prohibited.

2.4Users are responsible for securing their credentials and reporting suspected unauthorized access.

2.5The Company may prevent fake accounts, automated registration, fraud and circumvention of restrictions.

3User Categories

3.1Free: unverified users may make up to three basic AI searches and initiate two new conversations per day, continue existing conversations and view available profiles and events.

3.2Free users have no public professional profile, are not discoverable in professional search or Smart Circles, cannot view identifiable attendee lists or mark “Planning to attend.” Message recipients may see limited account details and unverified status.

3.3Verified: identity-verified users may create professional profiles, appear in internal AI search and recommendations subject to visibility settings, use one Smart Circle, access permitted attendee lists, indicate attendance and use QR codes and digital business cards including Apple Wallet.

3.4Pro: verified subscribers may, subject to availability, access multiple Smart Circles, advanced AI search, AI Projects, AI Professional Insights, event-management tools and Caller ID.

3.5A subscription does not provide access to others’ private messages.

3.6Current prices and conditions are shown before purchase.

4Identity Verification

4.1KYC verification is required for a public professional profile.

4.2The Company uses Sumsub or another provider disclosed to the User.

4.3Verification may require identity documents, photographs, biometric data and other necessary information.

4.4Profiles remain non-public until verification succeeds.

4.5Reverification may be requested for reasonable fraud or accuracy concerns.

4.6KYC verifies identity through a process; it does not certify qualifications, licences, reputation or financial reliability.

4.7Data handling is governed by the Privacy Policy.

5Professional Profiles

5.1Users may publish experience, skills, projects, portfolios, specializations, languages and interests and are responsible for accuracy and rights to their content.

5.2Fabricated positions, qualifications, licences and achievements are prohibited.

5.3Users control profile visibility through available settings.

5.4Recipients may retain information voluntarily made available; the Company cannot guarantee deletion of copies outside its control.

6Surroundings and Smart Circles

6.1The Surroundings area provides personalized professional matching based on profile attributes, interests, skills, permitted location data, mutual contacts and other permissible criteria.

6.2Smart Circles organize professional networks; the number available depends on user category.

6.3A recommendation does not imply consent to communication or a transaction.

6.4The Company does not guarantee recommendation volume, perfect accuracy or successful collaboration.

7AI Search

7.1AI Search helps users find professionals and contacts in response to queries.

7.2Automated results may be incomplete or inaccurate.

7.3Users independently verify qualifications and authority.

7.5AI Search must not be used for unlawful data collection, harassment, fraud or bypassing privacy settings.

8AI Projects

8.2Suggestions are informational and do not guarantee results.

8.3Users select professionals, verify permissions and agree collaboration terms independently.

8.4Availability may depend on subscription.

9Contacts and Communications

9.1Adding someone as a contact is unilateral and does not automatically create a mutual connection.

9.2Recipients choose whether to reply or add the sender.

9.3The Company may limit new conversations and apply anti-spam controls.

9.4Threats, harassment, fraudulent offers and unsolicited mass messaging are prohibited.

9.5Blocking and reporting tools may be provided.

10Private Message Confidentiality

10.1Partnears does not use the text, attachments or semantic content of private conversations for AI analytics.

10.2Message metadata such as sending times, intervals, interaction frequency, conversation counts and similar technical information may be processed for delivery and permitted analytics.

10.3Metadata processing does not authorize semantic AI analysis.

10.4Message delivery, storage, display, lawful requests and safety matters are handled on appropriate legal grounds under the Privacy Policy.

10.5Analytics do not disclose private message content to other users.

11Response Time

11.1The Platform may display an aggregated estimate of a professional’s typical response time to a first incoming message.

14Events

14.1Users may view events and, where authorized, create them.

14.2User events are independently organized by their creators; hosting an event listing does not make the Company the organizer.

14.3Organizers are responsible for descriptions, permits and legal compliance.

14.4Attendance and intention-to-attend information are shown according to user status and privacy settings.

14.5Users assess participation risks independently.

14.6The Company may restrict unlawful events.

15Women Circle and Special Circles

15.1The Platform may offer special professional circles, including Women Circle, subject to published conditions.

16.1Verified users may access QR codes, digital business cards and Apple Wallet integration.

16.2Users select card details within available settings.

16.3Caller ID may indicate a possible connection between an incoming call and Partnears but does not guarantee caller identification and may not be available on every device or in every region.

16.4Data protection and permission requirements apply.

17Professional Relationships

17.1Partnears provides discovery and communication tools but is not a party to independent transactions between users.

17.2Users agree prices, timelines, work and payment directly and are responsible for their licences and permits.

18.1Paid features are offered under conditions disclosed before purchase.

18.2In-app purchases are processed through Apple App Store or Google Play.

18.3Price, billing period, principal features, auto-renewal and any trial are disclosed before purchase.

18.4Auto-renewal continues until cancelled under store rules.

18.5Subscriptions are managed and cancelled through the relevant store; deleting the app or account does not automatically cancel them.

18.6Refunds follow mandatory law and Apple or Google procedures.

18.7Price and material term changes are subject to required notice and consent.

18.8Access generally continues through the paid period unless purchase terms or law provide otherwise.

19User Content

19.1Users retain rights to their photos, descriptions, portfolios and other materials.

19.2By posting, they grant the Company a non-exclusive right to store, technically process and display content as needed to operate the Platform, maintain security and meet legal duties.

19.3Ownership is not transferred.

19.4Users warrant they have the necessary rights.

19.5The Company may restrict unlawful content.

19.6Users may delete content as permitted by functionality and law.
